    i am getting this error

Microsoft Access: You don't have the necessary permissions to use the 'DatabasePath\D atabaseName.mdb ' object. Have your system administrator or the person who created this object establish the appropriate permissions for you.

I have not seen the error before but it sounds like you did not create the database and simply need to be given permission to admin it. I don't think it is really an Access issue.
It appears to be either related to the database itself or the folder it resides in and you do not have the access to one or the other or both for performing the conversion.

I am assuming you are on a work PC.
If so, is the database you are working on your machine or on a network drive?
If on your machine, are you an administrator on your machine?
If on the network, it is probably protected and can only be converted by the
    owner of the database.
Is the Access 97 database a personal database or a work related database?
If work related, did you create it?

I am sure you know how but just in case you don't know how to check if you are an admin on your PC or not go to your dekstop and right-click on your My Computer icon then click on Manage. Double-click Local Users and Groups and then highlight Groups. Double-click on Administrators in the right pane and see if you are listed as an administrator.
